Bayco was a Winnipeg-based division of Derlan Manufacturing Inc. (a subsidiary of Derlan Industries Limited ("Derlan"), a public company trading on the TSX exchange).
Bayco manufactured a proprietary product line consisting of tanker fittings, fuel nozzles, hose couplers and service station accessories marketed under the Bayco brand name. It also operated a custom design shop for specialty products and it manufactured its own line of memorial plaques and markers. Its products were distributed worldwide.
Derlan decided to narrow its strategy to sharpen its focus on its aerospace and pumps businesses, and determined that Bayco was non-strategic to this core focus. Derlan then engaged a team which included Private Capital, to seek interest in acquiring the business of Bayco from among strategic buyers focused within the specialty manufacturing industry.
Private Capital organized the preparation of a selling document which included a key explanation of recent poor financial performance and provided a justification of a higher valuation than would be apparent from a strict review of recent financial statements. Wide interest was generated from across North America and presentations were arranged for prospective purchasers to tour the facility and meet management.
Ultimately, Private Capital narrowed the focus to a New Jersey bidder which completed the purchase.
